Proposed Special Resolution

1. The Owners Corporation hereby resolves by Special Resolution pursuant to section 14 of the Owners Corporations Act 2006 to vary the terms of the existing Signage Licence between Owners Corporation 1 Plan No. PS826420W and 14-16 The Esplanade by Gurner Pty Ltd (ACN 626 307 131) dated 14 June 2022 on the terms and conditions contained within the Retail Lot 1R Deed (“Deed”) annexed hereto and marked “A” (annexure A available via the following link: https://www.theknight.com.au/wp-content/uploads/2026/08/Annexure-A-1R-Deed.pdf).
2. The Owners Corporation hereby resolves to enter into the Deed and accept the terms and conditions contained within the Deed, as they relate to Owners Corporation 1 Plan No. PS826420W, which include but are not limited to:

1. 1. acknowledging and agreeing that the following licenses are valid and legally binding and enforceable and may not be challenged by the Owners Corporation:
      1. Retail Services (Grease Trap) Licence dated 14 June 2022 (contained at page 305 of the Deed);
      2. Signage Licence dated 14 June 2022 (contained at page 352 of the Deed);
      3. Waste Room Vehicle Storage Licence (contained at page 462 of the Deed);
      4. Variation of Signage Licence (contained at page 557 of the Deed);
   2. approving the carrying out of Internal Works within Retail Lot 1R;
   3. executing all documents necessary to give effect to the Deed, including a Waste Room Vehicle Storage Licence and a Variation of Signage Licence.
